Defendant Emanuel Georgiadis appeals from the judgment of the Chancery Division, General Equity Part. Plaintiff's complaint sought the appointment of a neutral custodian to oversee the family-owned business and for injunctive relief; defendant's counterclaim sought declaratory and injunctive relief, as well as compensatory damages.
These matters were tried to completion in a bench trial before Judge Malone. After considering the evidence presented, Judge Malone issued a Memorandum of Opinion: (1) finding that plaintiff George Georgiadis is an oppressed minority shareholder within the meaning of N.J.S.A. 14A:12-7(1)(c); (2) directing the dissolution of Geoman Corporation; and (3) rejecting defendant's claims against his brother in connection with certain real property situated in the State of Connecticut.
After reviewing the record, and in light of prevailing legal standards, we affirm substantially for the reasons expressed by Judge Malone in his Memorandum of Opinion dated March 29, 2007.
