ORDER

THIS MATTER having come before the court on the motion of Defendants to dismiss the complaint pursuant to Fed.R.Civ.P. 12(b(6)); and the Court having considered the memoranda and supporting papers of Defendants, Plaintiffs' opposition papers, the arguments of all counsel, and all other papers on file in this matter; and

The Court having heard oral argument on May 25, 2004; and

  For the reasons set forth in the Opinion entered this date; and for good and sufficient cause having been shown; IT IS ORDERED that this 8th day of June, 2004, hereby ordered that the motion by Defendants to dismiss the complaint pursuant to Fed.R.Civ.P. 12(b)(6) is granted; and

  IT IS FURTHER ORDERED that the Clerk of the Court shall close this case.
