OPINION

The following Plaintiffs filed motions for consolidation, appointment as Lead Plaintiff, and approval of its counsel as Lead Counsel: (1) Private Asset Management ("PAM"); (2) William E. Hassenger ("Hassenger"); and (3) Samuel Sinay ("Sinay"). For the reasons stated in the accompanying opinion, the Court appoints PAM as Lead Plaintiff and reserves appointing PAM's choice of Schiffrin & Barroway, LLP and Bernstein Liebhard & Lifshitz, LLP as Lead Counsel pending this Court's review of PAM's retainer agreement with Schiffrin & Barroway, LLP and Bernstein Liebhard & Lifshitz, LLP.

And the Court having heard and considered argument of counsel, and good cause shown, it is on the 7th day of October 2002:

ORDERED that the within matters Civ. Nos. 02-2759, 02-2975, 02-3010, 02-3095, 02-3107, 02-3144, 02-3188, 02-3248, 02-3249, 02-3304, 02-3437, 02-3490, 02-3564, 02-3565, 02-3678, 02-4457 are hereby consolidated for all purposes pursuant to Fed. R. Civ. P. 42(a) under Civil Action No. 02-2759; and it is further

ORDERED that PAM's Motion for Appointment as Lead Plaintiff is GRANTED and PAM is appointed Lead Plaintiff ; and it is further

ORDERED that counsel for PAM is to distribute this opinion and order to all parties consolidated in this action; and it is further

ORDERED that Hassenger's Motions are DENIED; and it is further

ORDERED that Sinay's Motions are DENIED; and it is further

ORDERED that PAM is to submit the retainer agreement it has negotiated with proposed Lead Counsel Schiffrin & Barroway, LLP and Bernstein Liebhard & Lifshitz, LLP to this Court within _____ days of receipt of this order.
